1. Agreement to Terms

By accessing our website at franchiseos.com or purchasing any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or purchase our services.

These Terms constitute a legally binding agreement between you ("Client") and FranchiseOS ("we", "us", or "our").

2. Services Description

FranchiseOS designs and develops custom franchise management software systems. Depending on the plan selected, this may include:

  • Admin dashboard (analytics, finance, staff, inventory, order management)
  • Kitchen Display System (KDS)
  • Multi-outlet / franchise branch management
  • Delivery, loyalty, and customer management modules
  • iOS and Android mobile customer app (Mobile OS and Empire OS plans)

The exact scope of your project is defined at the time of purchase and confirmed during the discovery phase. Any features outside the agreed scope are subject to a separate quote.

3. Payment Terms

All prices are quoted in US Dollars (USD) unless otherwise agreed. The following payment terms apply:

  • Upfront deposit: 40% of the total project price is due before work commences.
  • Remaining balance: The remaining 60% may be paid in full or split into 2, 4, or 6 equal monthly instalments — agreed before the project starts.
  • Full payment discount: Clients who pay 100% upfront receive a 5% discount on the total price.
  • No hidden fees: No interest is charged on instalment plans. The price quoted is the price you pay.

Payments are processed via Stripe (international) or Flutterwave (African markets). By making a payment, you agree to those providers' terms and conditions.

Failure to make scheduled instalment payments may result in a pause of development work until payment is received.

4. Delivery & Timeline

FranchiseOS delivers projects in 3–4 weeks. This timeline is achievable because our builds start from a working prototype that is then branded, configured, and extended to your specifications — rather than being built from scratch.

The typical build process follows four phases:

  1. Discovery (Week 1): We gather your requirements, review your brand, and finalise the project scope.
  2. Design (Weeks 1–2): UI/UX mockups are created and presented for your approval.
  3. Build (Weeks 2–3): Development, branding implementation, and system configuration.
  4. Launch (Weeks 3–4): Quality assurance, deployment, and team training.

Timelines are estimates and may be affected by delays on the client's side (e.g., slow feedback, late provision of brand assets or content). We are not liable for delays caused by the client.

5. Intellectual Property

Upon receipt of full and final payment, the client owns the source code of the delivered system outright. This includes all custom code written specifically for the client's project.

Until full payment is received, FranchiseOS retains all intellectual property rights in the work produced.

FranchiseOS may retain the right to reference your project as part of our portfolio (e.g., on our website or in sales materials) unless you request confidentiality in writing.

Any third-party libraries, frameworks, or open-source components used in your build remain subject to their respective licences.

6. Post-Delivery Support

All plans include 3 months of free support from the date of delivery. This covers bug fixes and minor adjustments to the delivered system.

Support does not cover new features, redesigns, or changes outside the original project scope. These are subject to a separate agreement.

After the 3-month free support period, ongoing maintenance and support is available under a separate retainer agreement.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes business data, pricing, technical specifications, and brand materials.

This obligation survives the termination of the project or these Terms.

8. Refunds

Refunds are governed by our Refund Policy. In summary: refunds are available only before development has commenced. Once development begins, no refund is possible. Eligible refunds are 85% of the amount paid, with a 15% processing fee deducted.

9. Limitation of Liability

To the fullest extent permitted by applicable law, FranchiseOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising from or related to your use of our services.

Our total liability to you for any claim arising under these Terms shall not exceed the total amount you have paid us for the specific project giving rise to the claim.

10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. Please contact us at support@franchiseos.com to raise any concerns.

If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with applicable commercial arbitration rules. The language of arbitration shall be English.

11. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of our services after any changes constitutes your acceptance of the updated Terms.

For active projects, any material changes to Terms that affect your project will be communicated to you directly.
